IT IS NOT INVESTMENT RELATED AND WAS FORMED PRIMARILY TO OPTIMIZE THE TREATMENT OF TAX AND LIABILITY ISSUES ASSOCIATED WITH HOLDING COMMERCIAL PROPERTY. I MAKE THE MAJOR MANAGEMENT DECISIONS ASSOCIATED WITH THE PROPERTY BUT THE TIME DEVOTED TO THIS VENTURE IS MINIMAL ( 5 HOURS/MONTH). I HAVE BEEN INVOLVED IN THIS CAPACITY SINCE THE START OF THE ENTITY IN JUNE OF 2002. I also own 60% of 1824 Preservation Inc. which is a corporation formed for the sole purpose of owning the remaining 1% of Barnstone Partners. All the same facts pertain to this holding as to Barnstone Partners.
