AdvisorCheck Subscription Policy Agreement

1. Acceptance of this Policy

By purchasing, accessing, or using AdvisorCheck Premium, you acknowledge and agree that this Subscription Policy Agreement, the AdvisorCheck Terms of Use, and the AdvisorCheck Privacy Policy (collectively, the “AdvisorCheck Agreements”), all of which are incorporated herein by reference, collectively contain the terms of your and AIMR Analytics Inc.’ agreement concerning your use of Advisor Check Premium and any other Service of AIMR Analytics Inc., and You agree to be bound by the terms of the AdvisorCheck Agreements. In the event of any conflict between the terms of this Agreement and those of the remaining documents of the Advisor Check Agreements, the terms of the Terms of Use or the Privacy Policy, as applicable, supersede those of this Agreement. Capitalized terms used in this Agreement, but not defined here, will have the definitions provided in the Terms of Use.

2. Definitions

For the purposes of this Subscription Policy Agreement: :

• Agreement refers to this AdvisorCheck Subscription Policy Agreement.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to AIMR Analytics, Inc., 111 Grand Avenue, Palisades Park, NJ 07650.
• AdvisorCheck Premium refers to the AdvisorCheck Premium offering as provided by the Company, as modified from time to time.
• Subscription refers to your license to use AdvisorCheck Premium and your terms of payment for that license.
• Website refers to AdvisorCheck, accessible from https://www.advisorcheck.com.
• You means the individual accessing or using the AdvisorCheck Premium, or the company, or other legal entity on behalf of which such individual is accessing or using AdvisorCheck Premium, as applicable.

3. Subscription and Payment Terms

• Subscription Plans: You agree to pay certain non-refundable fees for use of AdvisorCheck Premium (the “Subscription Fee”), in the amount and frequency set forth in the online sign up workflow. The Subscription is valid for a term equal to the billing frequency you have selected, e.g. for one month or one year from the date of purchase. Please note, Subscription Fees are non-refundable if you terminate your Subscription early, as further described below.
• For annual Subscriptions, we will send you a reminder with the then-current Subscription Fee no less than fifteen (15) days and no more than forty-five (45) days before your Subscription term ends, or otherwise as required by applicable law.
• Fees and Billing: Fees will be charged in U.S. dollars in the amount identified at the time of purchase, plus applicable sales tax, according to Your card issuer agreement. Payment will be processed using the payment method You provide at the time of purchase. Billing will occur on the date of purchase and subsequently on the monthly or annual anniversary thereof, as applicable.
• Automatic Renewal: Your Subscription will automatically renew at the end of each Subscription period unless You cancel it by 11:59 p.m. Eastern time on the day before your next recurring billing date to avoid being charged for the next billing period. You will be charged the then-current Subscription Fee for Your Subscription plan. We will notify You in advance of any Subscription Fee changes to Your Subscription.
• Price Changes: We reserve the right to change Subscription prices from time to time. We will provide You with reasonable prior notice of any price change; however, any Subscription Fee for any Subscription having a fixed term, will only be increased at the time of the renewal of your Subscription. If you do not agree with the price change, you may unsubscribe prior to the price change going into effect
• Payment Issues: If Your payment method fails, We reserve the right to suspend Your access to the Premium Service until payment is successfully processed.

4. License to Use AdvisorCheck Premium

Subject to Your compliance with this Agreement, AdvisorCheck grants You a limited, non-exclusive, non-transferable, revocable license to access and use AdvisorCheck Premium solely for Your non-commercial, Personal Use. You are responsible for maintaining the confidentiality of Your account credentials.

5. Intellectual Property Rights

The Company and its licensors retain all rights, title, and interest in and to AdvisorCheck Premium, including all underlying software, technology, data, content, and trademarks. No rights are granted to You hereunder other than as expressly set forth herein.

6. Data Privacy and Security

Please refer to the AdvisorCheck Privacy Policy, available on Our Website, for detailed information on Our data collection, use, and protection practices.

• FCRA Disclaimer: The Company is not a consumer reporting agency and none of its Services or the data contained therein constitute a “consumer report” as such term is defined in the Federal Fair Credit Reporting Act (FCRA), 15 U.S.C. sec. 1681 et seq. The data provided to You may not be used as a factor in consumer debt collection decisioning; establishing a consumer’s eligibility for credit, insurance, employment, government benefits, or housing; or for any other purpose authorized under the FCRA. By accessing one of Our Services, You agree not to use AdvisorCheck Premium or data related to it for any purpose authorized under the FCRA or in relation to taking an adverse action relating to a consumer application.

7. Cancellation and Termination

• You can cancel your Subscription at any time before the end of the current billing period by logging into your account and selecting the “Manage Payment” option in your Account Settings. Cancellations will take effect at the end of the current Subscription period unless otherwise disclosed, and you will receive a confirmation email when your Subscription has been canceled.
• If you modify your Subscription to switch from one Service to another Service during your billing period, you may not have continued access to your original Service. You must cancel your Subscription prior to 11:59 p.m. Eastern time on the day before your next recurring billing date in order to avoid being charged for the next billing period.
• If your Subscription is canceled due to failed attempts to charge your payment method, or if you switch your billing to a third-party, you may forfeit any credits associated with your account.
• Our Suspension and Termination Rights: We may suspend or terminate Your access to AdvisorCheck Premium if You breach this Agreement, for non-payment, suspected Commercial Use, or engagement in illegal activities. We will endeavor to provide notice in such events where appropriate.
• Effect of Termination: Upon termination, Your access to AdvisorCheck Premium will cease.

8. Customer Satisfaction Policy

If for any reason You are not happy with Your experience, we would like to hear from you. Simply send Us an email with Your reason for dissatisfaction to support@advisorcheck.com. Subscription Fees ARE NOT REFUNDABLE; however, we will do our best to resolve any issues you may face.

9. Changes to this Policy

AdvisorCheck reserves the right to modify this Subscription Policy Agreement at any time. We will notify You of material changes by email or by posting a notice on the Website. Your continued use of AdvisorCheck Premium after such changes constitutes Your acceptance of the new terms.

10. Severability

The terms of this Subscription Policy Agreement apply to the maximum extent permitted by applicable law. If it is determined by a court of competent jurisdiction that any provision of this Subscription Policy Agreement is not valid for any reason, We may replace that provision with a similar provision that is enforceable under applicable law. All other provisions will remain valid and enforceable as written.

11. Entire Agreement

This Subscription Policy Agreement, together with the remaining AdvisorCheck Agreements described above, constitutes the entire understanding between You and AdvisorCheck regarding AdvisorCheck Premium and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between You and the Company with respect to AdvisorCheck Premium.
