THIS BUSINESS IS NOT INVESTMENT-RELATED. THE RELATIONSHIP WITH JEAN TARDY-VALLERNAUD STARTED IN 2013 AND OCCUPIES HIM ALMOST FULL-TIME, WHILE THE INVESTMENT ADVISORY BUSINESS IS CURRENTLY NON-EXISTENT AND, IF ENGAGED INTO AGAIN, WOULD BE INCIDENTAL, NOT STRATEGIC. SPECIFICALLY, OUR FIRM SEEKS BUYERS FOR FINE ART OWNED BY THE INDIVIDUALS WHO RETAIN OUR FIRM'S SERVICES, AND, IF SUCCESSFUL, OUR FIRM IS COMPENSATED IN THE FORM OF A PERCENTAGE COMMISSION ON THE FINAL PRICE OF THE FINE ART SOLD. AT NO TIME DOES GAINSBOROUGH CAPITAL LLC HAVE CUSTORY OR OWNERSHIP OF THE ART BEING SOLD. SECONDARILY, THE FIRM ACTS AS A CONSULTANT TO INDIVIDUALS ON THE CONTENTS OF THEIR ART COLLECTION AND THE TRENDS IN THE ART MARKET, FOR WHICH SERVICES WE MAY RECEIVE A CONSULTING FEE. IN BOTH PRIMARY AND SECONDARY ACTIVITIES ABOVE, JEAN TARDY-VALLERNAUD IS THE SOLE OWNER, FUNDING MEMBER ANS PARTICIPANT. (II) JEAN TARDY-VALLERNAUD IS A VOLUNTEER MEMBER OF THE INVESTMENT COMMITTEE OF THE CEDARS-SINAL MEDICAL CENTER IN LOS ANGELES. THIS COMMITTEE IS COMPOSED OF APPROXIMATELY 35 MEMBERS AND MEETS FOUR TIMES A YEAR TO REVIEW THE INVESTMENT PORTFOLIO OF CEDARS-SINAI AND TO VOTE FOR OR AGAINST MAKING INVESTMENT RECOMMENDATIONS TO THE BOARD OF DIRECTORS OF CEDARS-SINAI. JEAN TARDY-VALLERNAUD IS NOT A MEMBER OF THE LATTER BOARD OF DIRECTORS. HIS TIME COMMITMENT TO THIS COMMITTEE IS APPROXIMATELY 27 HOURS ANNUALLY (- 2.25 HOURS PER MONTH AVERAGE). (III) JEAN TARDY-VALLERNAUD IS ALSO THE OWNER AND SOLE MEMBER OPF NNW CAPITAL LLC, WHOSE BUSINESS ACTIVITY IS SIMILAR TO THAT OF GAINSBOROUGH CAPITAL LLC IN (II) ABOVE. IT EXISTS FOR THE PURPOSE OF IDENTIFYING SEPARATELY THE ADVISORY ROLE OF JEAN TARDY-VALLERNAUD FOR A PRIVATE OFFSHORE INVESTMENT FUND, SB REAL RETURN I THE ISLE OF MAN, WITH INVESTMENTS IN REAL ESTATE-SECURED SHORT- AND MEDIUM-TERM LOANS. THE SB REAL RETURN FUND HAS CLOSED AND THERE IS NO SUCH ACTIVITY. NNW CAPITAL LLC MAY BE CLOSED THIS YEAR.
