Unless noted otherwise, all outside business activities listed are conducted from 110 Rosedown Bend, Madison, MS 39110. My wife and I own and I am the managing member of the following 3 LLCs: Simpson Family, LLC - real estate brokerage/agency; investment-related; since 06/04/2011; 1-2 hours per month during trading hours. Simpson Family II, LLC holds our ownership interests in the family enterprises described below; not investment-related; since 09/18/2017; 2-10 hours per month during trading hours. Simpson Family III, LLC holds our ownership interests in Simpson + Payne, LLC, described below; not investment-related; since 12/2024; 2-10 hours per month during trading hours. Unless stated otherwise, for each of the LLCs disclosed below:

(1) I am the managing member and assumed my duties upon entity formation;

(2) my ownership interest is held by Simpson Family II, LLC;

(3) these are not investment-related business; and

(4) I spend from 1 to 5 hours per month on each, during trading hours. Capital Hotel Associates, LLC (12/09/2011) and Capital Hotel Associates II, LLC (10/20/2021) hold my ownership interest in the Westin Hotel and nearby vacant land in Jackson, Mississippi. Cedar Lake of Ridgeland, LLC (09/12/2014), is a master LLC which owns five sub-LLCs: Cedar Lake of Ridgeland II, LLC; Cedar Lake of Ridgeland III, LLC; Cedar Lake of Ridgeland IV, LLC; Cedar Lake of Ridgeland V, LLC; and Cedar Lake of Ridgeland VI, LLC. All formed on 12/21/2014 except for Cedar Lake of Ridgeland VI, LLC, formed on 09/19/2017. Together, these LLCs own 42 acres of undeveloped land in Ridgeland, Mississippi. My title is member. Iron Horse Restaurant, LLC (08/17/2012) and The Iron Horse Building, LLC (08/11/2008) created to own and operate Iron Horse Restaurant in Jackson, Mississippi. Iron Horse QUALICIB, LLC, (01/01/2013) processes Iron Horse Restaurant tax credits. Iron Horse Restaurant - Ridgeland, LLC (11/07/2023) and The Iron Horse Building - Ridgeland, LLC (11/08/2023) created to explore opening a second location of the Iron Horse Restaurant in Ridgeland, Mississippi. Allen Autrey Properties Azalea, LLC (06/24/2011) and Allen Autrey Properties Vieux Carre, LLC (formed 12/1/2014) own residential real estate in the Jackson and Oxford, Mississippi area for rental or personal use. Member and president of Joseph A Simpson CFP, PLLC (10/4/2013) which handles administrative matters for my investment advisory business. Member of Luckett Family Holdings, LLC (06/19/2015) which is inactive. Managing member of Simpson + Payne, LLC (12/2024) in connection with a proposed mixed use real estate development on the campus of the University of Mississippi, I participate in seeking project approval and buyers for real estate interests, and construction and leasing/sale of units. I plan to spend approximately 10-20 hours per month (5-10 during trading hours) on this non-investment related business conducted at 4500 I-55 N. Ste. 246, Jackson, MS 39211.
