The Energy & Minerals Group (EMG) is the trademark name for a private investment firm that provides investment management services to a family of private funds (the EMG Funds). EMG Fund II Management, LP (the adviser) is registered as an investment adviser with the Securities and Exchange Commission (SEC). Certain other management companies and general partner entities that provide investment-related services to the EMG Funds rely on the registration of EMG Fund II Management, LP under an umbrella registration, as permitted by the SEC initially through a staff letter to the American Bar Association and as incorporated directly into Form ADV, effective as of October 2017. Mr. Raymond, in his capacity as the sole member of the general partner of the adviser and each relying adviser (other than NGP MR Management, LLC), also controls the adviser and each relying adviser (other than NGP MR Management, LLC). He is also the Chief Executive Officer of the general partner of EMG Fund II Management, LP and all of the relying advisers. Mr. Raymond is also an owner of the adviser and relying advisers as of the dates listed for each entity on Schedule R of Form ADV. Each adviser and relying adviser has its principal place of business at 2229 San Felipe St., Suite 1300, Houston, Texas 77019. Mr. Raymond currently devotes substantially all of his professional time to the investment management business of EMG, including collectively activities of each adviser and relying adviser and the managed private funds. Mr. Raymond serves on the board of EMG Fund portfolio companies and owns an interest in certain portfolio companies, as described in further detail in EMG's brochure Form ADV Part 2A. Mr. Raymond is a member of the Investment Committee for Upper Bay Infrastructure Management, LP (Upper Bay), a registered investment adviser and manager of Upper Bay Infrastructure Partners, LP, an infrastructure private equity fund, and related parallel entities and co-investment vehicles (collectively the Upper Bay Funds). Mr. Raymond is a co-owner in Upper Bay as well as Upper Bay Infrastructure Partners GP, LP, the general partner to the Upper Bay Funds, and is expected to be a co-owner of other general partner entities established in conjunction with the Upper Bay Funds.
